Welcome to Scarlett. These Terms of Service (the “Terms”) govern your use of Scarlett (“we,” “us,” the “Service”), including our website, applications, and AI agents. By using the Service, you agree to these Terms. If you don’t agree, don’t use it.

We’ve tried to write this in plain language. Where we’ve had to use legal terms, we’ve done our best to keep them clean.

1. The Short Version

Scarlett is your AI coworker, living inside Slack. You tell her what to do. She does it — drafts, builds, researches, follows up, ships. You stay in the driver’s seat. These Terms cover how we work together, what you’re responsible for, and what we’re not.

2. Who Can Use This

You can use Scarlett if you’re at least 18 years old and legally able to enter a binding contract. If you’re using Scarlett on behalf of a company, you’re confirming you have authority to bind that company to these Terms.

One account per person or entity. Keep your credentials secure. You’re responsible for everything that happens under your account.

3. What Scarlett Does

Scarlett is an AI coworker you configure and deploy to perform tasks — brainstorming, writing, building, marketing, outreach, and more. Scarlett can take actions in connected third-party services (email, social platforms, hosting, payment processors, etc.) when you authorize her to.

We may add, change, or remove features at any time. We’ll give reasonable notice for material changes where we can.

4. Your Content, Your Data

Anything you input, upload, or create using Scarlett — your business ideas, copy, designs, customer data, outputs from agents — belongs to you. We don’t claim ownership of it.

You grant us a limited license to store, process, and transmit your content solely to operate and improve the Service. We use your content to serve you. We don’t sell it.

You’re responsible for making sure you have the rights to any content you put into Scarlett, and that your use of the Service complies with applicable law — including privacy, data protection, and intellectual property law in the jurisdictions you operate in.

5. AI-Generated Output

Scarlett’s output is generated by large language models and other AI systems. It can be wrong, outdated, biased, or made up. This is the nature of the technology — we improve it continuously, but we can’t guarantee accuracy.

You are the final decision-maker on anything Scarlett produces or sends. Before you publish, deploy, transact, or rely on Scarlett’s output, you’re expected to review it.

Specifically, don’t rely on Scarlett for:

6. Scarlett Acting on Your Behalf

When you authorize Scarlett to connect to a third-party service — your email, your social accounts, your website host, your payment processor — you are authorizing her to act as you within that service, subject to the scope you configure.

You understand and accept that:

If you see Scarlett doing something you didn’t intend, pause or revoke her access immediately and contact us.

7. Acceptable Use

Don’t use Scarlett to:

8. Third-Party Services

Scarlett integrates with third-party services you choose to connect. Those services have their own terms and policies, which you agree to separately. We’re not responsible for how those services operate, their availability, or what they do with information you send through them.

If a third-party service changes its API, pricing, or policies, it may affect how Scarlett works with it. We’ll adapt where we can. Some things are out of our control.

9. Subscriptions and Payment

Paid plans are billed in advance on a recurring basis (monthly or annual, depending on what you select). You authorize us to charge your payment method for each billing cycle until you cancel.

You can cancel anytime from your account settings. Cancellation takes effect at the end of your current billing period. We don’t refund partial periods unless required by law.

If your payment fails, we may suspend your access until it’s resolved.

Prices may change. We’ll give you at least 30 days’ notice before any price increase applies to your plan.

10. Our Intellectual Property

Scarlett — the software, the agents, the platform, our name, our marks — belongs to us. These Terms don’t give you any rights to our IP except the limited right to use the Service as intended.

You may not copy, resell, white-label, or redistribute Scarlett without our written permission.

11. Termination

You can stop using Scarlett at any time by closing your account.

We can suspend or terminate your access if you breach these Terms, if we’re required to by law, or if continuing to provide the Service to you creates material risk for us or other users. Where possible, we’ll tell you why and give you a chance to fix the issue first.

On termination, your right to use the Service ends. We may delete your data after a reasonable retention period. If you need to export your data, do it before you close the account.

12. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI output.

We don’t warrant that the Service will be uninterrupted, error-free, secure, or that Scarlett’s actions will produce a particular business result.

13. Limitation of Liability

To the maximum extent permitted by law, Scarlett and its officers, directors, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of the Service.

Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or USD $100, whichever is greater.

Some jurisdictions don’t allow these limitations. Where that’s the case, the limitations apply to the fullest extent permitted.

14. Indemnification

You agree to indemnify and hold Scarlett harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your configurations, actions Scarlett takes that you authorized, or your breach of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we’ll notify you by email or through the Service at least 14 days before they take effect. Continuing to use Scarlett after changes take effect means you accept the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
